Terms of supply.

These terms apply to every quote we give and every order we supply. Please read them before you order.

1. About these terms

1.1 These are the terms of Labmond Group Limited ("Labmond", "we", "us"), a medical and pharmaceutical supplier in Nairobi, Kenya. "You" means the business, facility or organisation that asks for a quote or places an order.

1.2 We supply businesses, health facilities and institutions. These terms are business to business terms.

1.3 If you buy as a private individual, nothing in these terms affects your rights under the Consumer Protection Act, 2012 or any other law that protects consumers.

1.4 If we sign a separate written contract with you, or accept an order under tender conditions, that contract or those conditions take priority where they differ from these terms.

2. Quotes

2.1 Our quotes are itemised and priced in Kenya shillings (KES). Each line states the product, brand or make, pack size, quantity and price, and the expected lead time.

2.2 A quote is valid for 14 days from its date, unless the quote states a different period.

2.3 A quote is an offer to supply on these terms. It is not a contract until we accept your order (see section 3).

2.4 Lead times in a quote are our best estimate based on stock and supplier information at the time. We will tell you promptly if a lead time changes.

3. Orders and acceptance

3.1 You place an order by confirming a quote in writing, for example by email, a signed quote or a purchase order.

3.2 A contract is formed when we confirm your order in writing or when we deliver the goods, whichever happens first.

3.3 We may decline an order, for example if a product is no longer available, if a quote has expired, or if we cannot confirm that you are licensed to receive a regulated product.

3.4 Once we have accepted an order, you may change or cancel it only if we agree in writing. If we have already bought, packed or dispatched goods for you, we may charge for costs we cannot recover.

4. Prices and payment

4.1 Prices are as stated on our quote and invoice, including whether VAT and delivery are included.

4.2 You must pay in the way and within the time stated on the invoice.

4.3 If a payment is late, we may pause further deliveries until the account is settled.

5. Delivery and risk

5.1 We deliver to the address agreed in your order, or you may collect from us if we agree.

5.2 Someone authorised by you must be present to receive the goods and sign the delivery note.

5.3 Risk in the goods passes to you when the delivery note is signed, or when you collect the goods.

5.4 If no one is available to receive a delivery at the agreed time, we may charge for a second delivery.

6. Inspection, shortages and returns

6.1 Please check the goods against the delivery note when they arrive.

6.2 You must tell us about any shortage, damage or wrong item within 48 hours of delivery, by email to info@labmondgroup.co.ke. Please include the delivery note number and photos where you can. If you tell us in time, we will replace, credit or correct the order.

6.3 Medicines and other regulated products can be returned only where the law allows and where we can confirm they have been stored and handled correctly.

6.4 Cold chain items, such as vaccines and temperature sensitive reagents, cannot be returned once they have been delivered and signed for, unless they arrived damaged or not as ordered and you tell us within the time in clause 6.2.

6.5 Other goods may be returned only with our written agreement, unused, in their original packaging and in a resaleable condition.

7. Product information, batch and expiry

7.1 Each delivery note lists the batch number and expiry date for each item where the manufacturer provides them.

7.2 On request, we will give you the product documents the manufacturer provides, such as registration details and certificates of analysis.

7.3 Product descriptions, pictures and specifications on our website and in quotes are for guidance. The manufacturer's labelling and instructions for use apply.

7.4 You are responsible for storing, handling and using the goods correctly after delivery, in line with the manufacturer's instructions.

8. Regulated products

8.1 We supply prescription only medicines and other regulated products only to buyers who hold the licence the law requires, in line with the Pharmacy and Poisons Act and the rules of the Pharmacy and Poisons Board.

8.2 We may ask for a copy of your licence or other proof before we quote or supply, and we may refuse to supply until we have it.

9. Warranties

9.1 For equipment, the manufacturer's warranty passes to you. We will tell you the warranty terms in the quote and help you make a claim under it.

9.2 A warranty does not cover damage caused by misuse, incorrect installation by others, unauthorised repairs, or failure to follow the manufacturer's instructions.

10. Liability

10.1 Nothing in these terms limits or excludes any liability that cannot be limited or excluded under the laws of Kenya.

10.2 Subject to clause 10.1, our total liability for any order is limited to the price of the goods in that order.

10.3 Subject to clause 10.1, we are not liable for indirect or consequential loss, or for loss of profit, business or revenue.

11. Events outside our control

We are not responsible for delay or failure to perform caused by events outside our reasonable control. These include natural disasters, epidemics, government action, import restrictions, strikes, unrest, road closures and failures of suppliers or carriers. We will tell you as soon as we can and do our best to limit the delay.

12. Changes to these terms

We may update these terms. The version that applies to an order is the one in force on the date we accept that order. The date at the top shows the latest version.

13. Law and disputes

13.1 These terms and every order are governed by the laws of Kenya.

13.2 We will try to settle any dispute by talking with you first. If we cannot, the courts of Kenya have jurisdiction.
